Talis Group’s client is a Louisville law firm established for several decades in this region and located in the East End of Louisville. This nationally recognized firm is hiring a Corporate and Business Litigation Paralegal to join their team. This position will handle Business, Construction, Real Estate Litigation as well as Corporate formation and acquisitions. This medium sized, growing firm offers full benefit package including health, dental, vision, life, long-term disability and 401K.
Salary: $80,000-$85,000.
Highlighted Duties:
- Prepare and file business entity formation and organizational documents, including corporations, LLCs, partnerships, and nonprofit organizations.
- Draft and organize corporate governance documents, including operating agreements, bylaws, resolutions, meeting minutes, and shareholder or member consents.
- Assist with business transactions, including asset and stock purchases, mergers, acquisitions, and corporate restructurings.
- Prepare, review, and organize contracts, corporate records, and due diligence materials.
- Maintain corporate minute books and entity compliance records.
- Coordinate state filings and annual reports.
- Assist attorneys with all phases of litigation from case inception through trial and appeal.
- Draft pleadings, motions, discovery requests and responses, subpoenas, notices, and correspondence.
- Manage document production, review, and organization for discovery.
- Coordinate electronic filing in Kentucky state and federal courts.
- Prepare deposition, mediation, arbitration, and trial notebooks.
Highlighted Qualifications:
- Associate's or Bachelor's degree preferred.
- Paralegal certificate from an ABA-approved program preferred.
- Minimum of 3 years of paralegal experience in corporate law, business litigation, or commercial litigation.
- Strong knowledge of Kentucky and federal court filing procedures.
- Experience with corporate entity management and business transactions.
- Excellent legal research, writing, proofreading, and organizational skills.
- Strong attention to detail and ability to manage multiple deadlines.
- Proficiency with Microsoft Office Suite, Adobe Acrobat, document management systems, and legal case management software.
- Experience with electronic discovery platforms is a plus.
- Ability to maintain confidentiality and exercise sound professional judgment.
